Janssen Project Contributor License Agreement (CLA)#

1. Definitions#

  1. "Contribution" refers to any original work of authorship, including any modifications or additions to existing work, that is intentionally submitted by you to this project for inclusion in, or documentation of, any of the repositories managed by the project (the "Work").
  2. "You" refers to the individual or entity making the Contribution identified by the GitHub username _____.
  3. "Project" refers to the open-source project and its maintainers, contributors, and licensees.

You retain ownership of the copyright in your Contribution. This CLA does not transfer ownership of your copyright to the Project or its maintainers.

3. License Grant#

By submitting your Contribution, you hereby grant the Project and its maintainers a perpetual, worldwide, non-exclusive, royalty-free, irrevocable, sublicensable, and transferable license to:

  1. Use, reproduce, distribute, prepare derivative works of, publicly display, publicly perform, and otherwise exploit your Contribution as part of the Project.
  2. Make, have made, sell, offer for sale, import, and otherwise exploit products or services derived from or incorporating your Contribution, without any compensation to you.
  3. Sublicense these rights to third parties for any purpose, including commercial purposes.
  4. This license grant shall survive any change in maintainers, ownership, or governance of the Project.

4. Patent License#

You grant to the Project, its maintainers, and its licensees a perpetual, worldwide, non-exclusive, royalty-free, irrevocable license under any patent rights you hold, owned or licensed, to:

  1. Make, have made, use, sell, offer for sale, import, or otherwise exploit the Contribution, either as part of the Project or any derivative work of the Project.
  2. Extend this grant to any necessary claims that would be infringed by the combination of your Contribution with the Project as a whole.

5. Moral Rights Waiver#

You waive any and all moral rights, including rights of attribution, integrity, and approval of modifications, to the fullest extent permitted by applicable law.

6. Representation, Warranty, and Indemnification#

You represent and warrant that:

  1. You are legally entitled to grant the above license.
  2. The Contribution is your original creation or, if it is based on prior work, you have the necessary rights to submit it under the terms of this CLA.
  3. Your Contribution does not violate any third-party rights, including intellectual property rights.
  4. If any part of your Contribution was generated using artificial intelligence (AI), you represent that you have the necessary rights to contribute such work under this agreement.
  5. You agree to indemnify, defend, and hold harmless the Project, its maintainers, and its licensees from any claims, damages, liabilities, costs, and expenses (including legal fees) arising from your breach of this agreement or any claim that your Contribution infringes on a third-party’s rights.

7. No Obligation to Use#

The Project is under no obligation to use, distribute, or incorporate your Contribution in any way.

8. Governing Law and Dispute Resolution#

This agreement shall be governed by and interpreted in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.

9. Agreement#

By signing this agreement and submitting your Contribution, you indicate your agreement to these terms.
